WINA Bylaw Changes Encourage Participation

Bylaw changes approved in principle at their July 8, 2011 meeting and recently ratified by the WINA Board of Directors are expected to encourage wider participation in WINA activities.

Whereas in the past only the designated representatives of Executive Sponsor members were permitted to vote for and serve on the WINA Board and to serve on WINA committees, new bylaw provisions grant similar privileges to all members. Up to five Board positions are reserved for members not affiliated with an Executive Sponsor membership.

Clarification was made that the designated representatives of Executive Sponsor and Sponsor Members are granted all the benefits of individual membership in addition to any other benefits of their corporate membership.

Volunteer officer and director roles are were redefined to more of governance and advocacy for the organization; and enabling provisions were made to shift more management responsibilities to the Executive Director, under general direction and oversight of the Board.

Other changes were also made to streamline the operation of the board and to require an audit committee.
